SUPPLIERES TERMS & CONDITIONS


ZUITOO – TERMS & CONDITIONS FOR SUPPLIERS (SELLERS)

Effective Date: 29-12-25

These Terms & Conditions (“Agreement”) govern the relationship between Zuitoo (“Zuitoo”, “We”, “Us”, “Our”) and any individual or business entity registering and selling products through the Zuitoo Supplier Panel (“Supplier”, “Seller”, “You”).

By registering on Zuitoo, you agree to comply with and be legally bound by these Terms & Conditions.

1. Eligibility to Register as a Supplier

1.1 Any legally registered shop, business, manufacturer, wholesaler, retailer, or authorized seller may register on Zuitoo.

1.2 Suppliers must provide accurate business details including shop name, address, contact details, bank information, GST (if applicable), and identity documents.

1.3 Zuitoo reserves the right to approve, reject, suspend, or terminate any Supplier account at its sole discretion.

2. Supplier Responsibilities

2.1 The Supplier confirms that all products listed on Zuitoo are:

  • Genuine, original, and legally sourced

  • Free from defects

  • Compliant with all applicable laws and regulations

2.2 The Supplier is solely responsible for:

  • Correct product descriptions, images, pricing, and stock availability

  • Quality, packaging, and labeling of products

  • Ensuring products are safe and fit for sale

2.3 Prohibited products (including counterfeit, illegal, or restricted items) are strictly not allowed.

3. Product Pricing & Commission

3.1 The Supplier is free to set the product selling price on Zuitoo.

3.2 Zuitoo Logistics & Service Fee:

Zuitoo shall charge 30% of the final order value as logistics and service fees.

Example:

  • Product Price: ₹100

  • Zuitoo Fee (30%): ₹30

  • Supplier Share: ₹70

3.3 The 30% fee includes logistics support, platform services, payment processing, and customer support.

4. Order Fulfillment & Pickup

4.1 Zuitoo will arrange pickup of confirmed orders through its logistics partners.

4.2 The Supplier must ensure products are ready for pickup at the agreed time.

4.3 Delays, cancellations, or non-availability of products may lead to penalties or account suspension.

5. Payment & Payout Structure

5.1 Supplier earnings will be settled as follows:

Payout Breakdown

  • 50% of Supplier Share paid same day (EOD) after successful product pickup

  • Remaining 50% paid after completion of the return period

Return Policy

  • Zuitoo return policy is 2 days from delivery

  • If no return request is raised within 2 days, the balance payout will be released

5.2 Payouts will be transferred to the Supplier’s registered bank account only.

5.3 Zuitoo is not responsible for delays caused by incorrect bank details.

6. Returns, Refunds & Cancellations

6.1 Zuitoo offers a 2-day return policy to customers.

6.2 If a product is returned due to:

  • Defect

  • Wrong item

  • Damage

  • Quality issues

  • Customer disputes

The Supplier shall bear responsibility as per Zuitoo policies.

6.3 Zuitoo reserves the right to deduct amounts related to returns, refunds, penalties, or disputes from future payouts.

7. Quality Control & Compliance

7.1 Zuitoo may conduct random quality checks.

7.2 Repeated complaints, poor ratings, or policy violations may result in:

  • Product delisting

  • Account suspension

  • Permanent termination

8. Intellectual Property

8.1 Suppliers must ensure that product images, brand names, and content do not violate any intellectual property rights.

8.2 Zuitoo is not liable for IP disputes caused by Suppliers.

9. Account Suspension & Termination

9.1 Zuitoo may suspend or terminate a Supplier account if:

  • False information is provided

  • Fraudulent activity is detected

  • Excessive returns or customer complaints occur

  • Any clause of this Agreement is violated

9.2 Upon termination, pending payouts may be held until disputes are resolved.

10. Limitation of Liability

10.1 Zuitoo acts as a technology and logistics platform only.

10.2 Zuitoo shall not be liable for:

  • Supplier losses

  • Business interruptions

  • Indirect or consequential damages

11. Amendments

11.1 Zuitoo reserves the right to modify these Terms & Conditions at any time.

11.2 Continued use of the Supplier Panel constitutes acceptance of updated terms.

12. Governing Law & Jurisdiction

12.1 This Agreement shall be governed by the laws of India.

12.2 Any disputes shall be subject to the exclusive jurisdiction of courts in [Kolkata, India].

13. Product Authenticity & Legal Responsibility

13.1 You guarantee that all products listed are:

  • 100% genuine and original

  • Legally sourced

  • Safe and usable

  • Compliant with Indian laws

13.2 Strictly Prohibited:

  • Fake, duplicate, expired, illegal, or restricted products

13.3 Any legal issue, customer complaint, or government action related to your products will be entirely your responsibility.

13.4 Zuitoo will not bear any legal, financial, or reputational loss caused by Supplier products.

14. Pricing, Commission & Fees (NON-NEGOTIABLE)

14.1 You may decide your product selling price.

14.2 Zuitoo Service & Logistics Fee = 30% per order value (Mandatory)

Example

  • Product Price: ₹100

  • Zuitoo Fee (30%): ₹30

  • Supplier Receives: ₹70

14.3 The 30% fee includes logistics, platform usage, payment processing, customer service, and operational costs.

14.4 This fee is final and non-refundable under any circumstances.

15. Order Fulfillment & Pickup Obligations

15.1 Once an order is confirmed, you must fulfill it without delay.

15.2 Products must be properly packed and ready at pickup time.

15.3 Failure to fulfill orders may result in:

  • Order cancellation

  • Financial penalties

  • Reduced visibility

  • Account suspension or termination
